Terms of Service

Terms of Service

These Terms of Service (“Terms”) govern your use of the Ideas Builder platform (the “Service”) operated at idea-builder.org. By registering, you agree to these Terms and the Privacy Policy.

1. Eligibility

You must be at least 18 years old to use the Service.

2. Your account

You are responsible for safeguarding your credentials and for all activity under your account. You must provide accurate registration information. Notify us immediately of any unauthorized use: legal@idea-builder.org.

3. Your content and intellectual property

You keep ownership of everything you upload — ideas, documents, surveys, and other content (“Your Content”). You grant us a limited license to process, store, and display Your Content solely to operate and improve the Service.

AI-generated outputs. The Service generates analysis, copy, and reports using artificial intelligence (“AI Outputs”). Canadian law has no rule granting AI authorship, so:

• AI Outputs are licensed to you, not assigned — you may use them for your business purposes, but they are not a transfer of copyright;
• you are responsible for how you use AI Outputs, including any decisions you make based on them;
• AI Outputs are informational only and do not constitute legal, financial, tax, accounting, patent, trademark, or other professional advice (see section 6).

4. Acceptable use

You agree not to:

• use the Service to infringe third-party rights (copyright, trademark, patent, privacy, or defamation);
• upload unlawful, infringing, or deceptive content;
• import or process personal information without lawful acquisition and applicable consent (including CASL consent to contact);
• sell, rent, or trade lists of contacts or survey respondents, or reuse panel data across organizations;
• reverse-engineer, scrape, or abuse the Service or its AI features;
• attempt to access another user’s account, ideas, or data.

5. Surveys and respondent data

• Responses are collected anonymously by default.
• You are the “controller” of respondent data you collect through your surveys; we process it on your behalf under the Data Processing Agreement.
• You warrant that you will comply with applicable privacy law (PIPEDA, Quebec Law 25) when inviting respondents and handling their data.
• Respondents must be 18+; the platform blocks under-age responses.

6. Disclaimers and limitation of liability

AI Outputs are informational estimates, not professional advice. Nothing the Service generates — market sizing, financial projections, freedom-to-operate screens, trademark searches, or other analyses — is legal, financial, tax, or professional advice. Freedom-to-operate and trademark results are screening tools only; you must obtain qualified legal advice (e.g., from a patent or trademark agent) before relying on them for decisions.

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be limited by law.

7. Subscriptions, billing, and refunds

• Subscriptions are billed through Stripe/Lemon Squeezy and auto-renew on each billing cycle until cancelled.
• You may cancel at any time from your billing settings; access continues until the end of the paid period.
• Refunds: if you cancel within 14 days of a paid subscription start, you may request a refund by contacting legal@idea-builder.org (consistent with applicable Canadian consumer protection law).

8. Imported contacts and lawful use of data

When you import contacts or audience panels, you warrant that the data was lawfully acquired and that contacting those people complies with CASL and other applicable laws. The platform requires you to confirm this warranty before importing or adding contacts.

9. Commercial email and consent

We send commercial email (marketing) only with your express consent. Every commercial email includes our identity, contact information, and a working unsubscribe link. Transactional email (verification, password reset, security codes) is exempt from CASL and is always sent.

10. Takedown and notice-and-notice

We comply with Canada’s notice-and-notice regime. If you believe content on the Service infringes your rights or is otherwise unlawful, submit a report via the /report page or legal@idea-builder.org. We will review, notify the uploader, and take down content where appropriate.

11. Termination

We may suspend or terminate your access for breach of these Terms, illegal use, or non-payment, with notice where feasible. You may delete your account at any time; we will delete or anonymize your data per the Privacy Policy, subject to legal holds.

12. Changes

We may update these Terms; a new version number accompanies each change. Continued use after a material change constitutes acceptance. Where required, we will request fresh consent.
